Dispute Resolution — Arbitration and Class-Action Waiver

1. Binding arbitration

Any dispute, claim, or controversy arising out of or relating to your access to or use of this Site, your communications with Nelson Pools, Inc., or these Terms of Use (a “Dispute”) shall be resolved exclusively through final and binding arbitration, except as provided in the “Small claims” and “Injunctive relief” sections below. This provision is governed by the Federal Arbitration Act and, where applicable, the laws of the State of Alabama, without regard to conflict-of-law principles.

2. Informal resolution first

Before commencing arbitration, the initiating party will send the other written notice describing the Dispute and the relief sought, using the contact information listed on this Site for notices to Nelson Pools, Inc. The parties will attempt in good faith to resolve the Dispute for thirty (30) days after that notice before proceeding to arbitration.

3. Rules and administrator

The arbitration will be administered by the American Arbitration Association (“AAA”) before a single arbitrator. For any Dispute involving a consumer, the AAA Consumer Arbitration Rules will apply; for all other Disputes, the AAA Commercial Arbitration Rules will apply. If AAA is unavailable, the parties will agree on, or a court will appoint, a comparable administrator.

4. Arbitration costs

Nelson Pools, Inc. will pay the arbitration filing, administrative, and arbitrator fees for any consumer Dispute, to the extent those fees exceed what the consumer would have paid to file the same claim in court. Each party otherwise bears its own attorneys’ fees and costs, unless a statute expressly provides otherwise.

5. Individual basis; jury and class-action waiver

Arbitration will be conducted solely on an individual basis. You and Nelson Pools, Inc. knowingly and voluntarily waive any right to a trial by jury, and neither party may bring or participate in any class action, class arbitration, collective action, or other representative proceeding. If this class-action waiver is found unenforceable as to a particular Dispute, that Dispute shall be severed and heard in a court of competent jurisdiction, while the remainder of this provision stays in effect.

6. Venue and award

The arbitration will take place in Baldwin County, Alabama, unless the parties agree otherwise or the applicable AAA rules require another location. Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.

7. Injunctive relief

Nelson Pools, Inc. may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property, confidential information, or website systems, or to collect unpaid amounts, without waiving arbitration of any other Dispute.

8. Delegation

The arbitrator has exclusive authority to resolve disputes about the interpretation, applicability, enforceability, formation, or scope of this arbitration provision, except that a court — not the arbitrator — shall decide the enforceability of the class-action waiver in Section 5.

9. Severability and survival

If any part of this arbitration provision is held unenforceable, that part will be modified only to the minimum extent necessary, or severed, and the remaining parts will remain in full force and effect. This provision survives termination of your use of the Site and of these Terms.

Changes

We may update these Terms; the “Effective date” reflects the current version.
